Please read these terms and conditions carefully before using the NovaLearn platform.

1. Acceptance of Terms

Welcome to NovaLearn! By accessing or using the NovaLearn platform, including its website (www.novalearn.com), mobile applications, and any associated services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions (the "Terms"). These Terms constitute a legally binding agreement between you (the "User" or "you") and NovaLearn, a company located at 555 Tech Drive, Palo Alto, CA 94304.

If you do not agree with any part of these Terms, you are prohibited from using the Platform. NovaLearn reserves the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting on the Platform. It is your responsibility to review these Terms periodically for changes. Your continued use of the Platform following the posting of changes will mean that you accept and agree to the changes.

2. User Accounts

To access certain features of the Platform, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form. You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account.

You agree to notify NovaLearn immediately of any unauthorized access to or use of your account. NovaLearn will not be liable for any loss or damage arising from your failure to comply with these requirements. NovaLearn reserves the right to suspend or terminate your account at any time for any reason, including, but not limited to, a breach of these Terms.

3. Course Enrollment and Access

NovaLearn offers a variety of online courses related to technology, including artificial intelligence, cybersecurity, web development, and data science. Upon enrollment in a course, you will be granted access to the course materials, including videos, lectures, assignments, and other resources, for the duration specified in the course description.

NovaLearn reserves the right to modify, suspend, or terminate any course at any time, with or without notice. In the event of a course termination, NovaLearn will provide a refund for any unused portion of the course fee, if applicable. You agree not to share your course access credentials with any third party or to reproduce, distribute, or create derivative works of the course materials without the express written consent of NovaLearn.

4. Payment and Refunds

Enrollment in NovaLearn courses may require the payment of fees, as specified on the Pricing page. All fees are payable in United States dollars (USD) and are subject to applicable taxes. NovaLearn accepts payment through various methods, including credit cards, debit cards, and other online payment processors.

NovaLearn offers a refund policy for certain courses, as described on the Platform. Generally, refunds are available within a specified period after enrollment, provided that you have not completed a significant portion of the course. NovaLearn reserves the right to deny a refund if you violate these Terms or if you have already benefited substantially from the course. 5. Intellectual Property

The Platform and its contents, including but not limited to text, graphics, images, logos, and software, are the property of NovaLearn or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or create derivative works of the Platform or its contents without the express written consent of NovaLearn.

By submitting content to the Platform, such as comments, forum posts, or assignments, you grant NovaLearn a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

6. User Conduct

You agree to use the Platform in a responsible and respectful manner. You agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws or regulations.
  • Posting or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Interfering with or disrupting the operation of the Platform or the servers or networks used to make the Platform available.
  • Attempting to gain unauthorized access to any portion of the Platform or any other systems or networks connected to the Platform.
  • Collecting or harvesting any personally identifiable information from other users of the Platform.
  • Engaging in any form of spamming or unsolicited advertising.
  • Uploading or transmitting any viruses, worms, or other malicious code.

NovaLearn reserves the right to investigate and prosecute violations of these Terms to the fullest extent of the law.

7. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. NovaLearn does not warrant that the Platform will be uninterrupted or error-free, that defects will be corrected, or that the Platform is free of viruses or other harmful components.

NovaLearn makes no representations or warranties about the accuracy, completeness, reliability, or timeliness of the content available on the Platform. You are solely responsible for your use of the Platform and for any decisions or actions you take based on the information provided on the Platform.

8. Limitation of Liability

In no event shall NovaLearn be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if NovaLearn has been advised of the possibility of such damages. NovaLearn's total liability to you for any and all claims arising out of or in connection with your use of the Platform shall not exceed the amount you paid to NovaLearn for access to the Platform in the twelve (12) months preceding the date of the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations and exclusions may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless NovaLearn, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Palo Alto, California. The decision of the arbitrator shall be final and binding on the parties.

You agree that any claim or cause of action arising out of or related to these Terms must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.

11. Termination

NovaLearn may terminate your access to the Platform at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting NovaLearn's customer support team at [email protected]. Upon termination, your right to use the Platform will immediately cease.

The provisions of these Terms relating to intellectual property, disclaimer of warranties, limitation of liability, indemnification, governing law and dispute resolution, and general provisions shall survive any termination of these Terms.

12. General Provisions

These Terms constitute the entire agreement between you and NovaLearn with respect to your use of the Platform. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. NovaLearn's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign these Terms without the prior written consent of NovaLearn. NovaLearn may assign these Terms at any time without notice to you. These Terms are binding upon and will inure to the benefit of the parties and their respective successors and permitted assigns.
